3. Optical Engineering Projects and Consultancy

3.1 Scope of Services

All consultancy and engineering projects will be carried out according to the scope, specifications, deliverables, fees, and timelines agreed upon before work begins.

Depending on the agreement, services may include preliminary design, detailed optical design, simulation, optimization, tolerancing, technical documentation, design reviews, and related engineering support.

Any service not expressly included in the agreed scope will be treated as additional work and may require a separate fee and timeline.

3.2 Client Responsibilities

Clients are responsible for:

  • Providing accurate specifications, performance requirements, and relevant technical information.
  • Disclosing applicable manufacturing, material, environmental, packaging, and operational constraints.
  • Ensuring that they have the rights to share any data, designs, files, or confidential information provided to Devion Optics.
  • Reviewing deliverables and providing feedback or approvals within agreed timelines.
  • Obtaining any necessary software licences, hardware, manufacturing services, and testing resources unless otherwise agreed.

Delays in receiving required information, approvals, or feedback may affect project timelines.

3.3 Design Results and Validation

Optical designs and simulation results depend on the input specifications, modelling assumptions, material data, software capabilities, manufacturing processes, and other project-specific conditions.

Unless explicitly included in the written agreement, physical prototyping, manufacturing, experimental testing, certification, and production validation are outside the scope of consultancy services.

Clients are responsible for arranging appropriate independent verification and testing before manufacturing, commercial deployment, or use in safety-critical applications.

Devion Optics will make reasonable professional efforts to meet the agreed technical objectives but does not guarantee a particular physical or commercial outcome unless expressly agreed in writing.

4. Mentorship for Professionals and Students

4.1 Nature of Mentorship

Mentorship services are intended to provide technical guidance, knowledge sharing, problem-solving support, and professional development in optical engineering.

Depending on the agreed arrangement, mentorship may include one-to-one meetings, project discussions, design reviews, recommendations for technical resources, and guidance on optical design methodologies.

4.2 Responsibilities of the Mentee

Mentees are responsible for their own learning, independent work, decisions, and implementation of the guidance provided.

Mentorship is not a substitute for formal academic supervision, employer approval, professional certification, or independent engineering verification unless expressly agreed otherwise.

4.3 Academic Integrity

Students must comply with the academic integrity policies of their educational institutions.

Mentorship may include explaining concepts, reviewing designs, discussing methodologies, and helping students understand technical problems. It does not authorize plagiarism, fabrication of results, misrepresentation of work, or submission of another person's work as one's own.

The permitted extent of direct assistance with assessed academic work must comply with the applicable institution's rules.

4.4 No Guaranteed Outcomes

Mentorship does not guarantee academic grades, successful project completion, employment, promotion, publication, commercial success, or any specific technical result.

The value of mentorship depends on factors including the mentee's participation, prior knowledge, effort, and the nature of the problem.

4.5 Mentorship Fees and Scheduling

Fees, meeting frequency, duration, communication channels, support between meetings, rescheduling, cancellation, and any applicable refund arrangements will be communicated and agreed upon before the mentorship begins.

Additional support or work beyond the agreed arrangement may require separate payment.

5. Fees, Payments, and Cancellations

  • Fees and payment terms will be communicated before a project or mentorship engagement begins.
  • Project engagements may require an advance payment, milestone payments, or another mutually agreed payment schedule.
  • Work may be postponed or suspended in the event of overdue payments, subject to the applicable agreement and law.
  • Any additional work outside the agreed scope may be charged separately after the client approves the revised scope and fee.
  • Cancellation, rescheduling, refund eligibility, and payment for work already completed will be governed by the relevant written agreement and any applicable refund policy.
  • Where Devion Optics expressly provides a specific refund commitment, that commitment will apply according to its stated conditions.
  • Approved refunds will be processed through the applicable payment method, subject to payment-provider procedures and applicable law.

No provision in this section overrides mandatory consumer rights or other protections under applicable law.

6. Intellectual Property Rights

6.1 Pre-existing Intellectual Property

All pre-existing intellectual property belonging to Devion Optics remains its property. This includes proprietary methods, design approaches, algorithms, scripts, calculators, templates, software tools, educational resources, and general technical know-how.

The engagement of Devion Optics does not automatically transfer ownership of its pre-existing intellectual property to a client or mentee.

6.2 Project Deliverables

Ownership and permitted use of project-specific deliverables will be determined by the written agreement between Devion Optics and the client.

The agreement should specify whether the client receives ownership, a licence to use the deliverables, or another agreed right. Any transfer of intellectual property will be subject to the terms of that agreement and applicable law.

Unless otherwise agreed in writing, clients must not assume that payment for consultancy services automatically transfers ownership of all underlying methods, tools, reusable components, or intellectual property.

6.3 Mentorship Materials

Materials supplied as part of mentorship, including notes, presentations, example designs, scripts, calculations, and technical documents, are intended for the mentee's personal learning and the agreed mentorship purposes.

Mentees may not resell, publicly redistribute, or commercially exploit these materials without prior written permission, except where permitted by applicable law or an express licence.

6.4 Portfolio and Publicity

Devion Optics will not disclose a client's confidential project information or identify a client in promotional materials without the necessary permission, except where disclosure is legally required.

Any use of project images, design layouts, performance results, or other project-specific information in a portfolio, presentation, publication, or promotional material will be subject to the relevant confidentiality obligations and permissions.

7. Confidentiality

Both Devion Optics and its clients or mentees may receive confidential information during an engagement.

Each party agrees to take reasonable measures to protect the other party's confidential information and use it only for the agreed purpose.

Confidential information may include optical designs, specifications, source files, business information, technical data, unpublished research, and proprietary methods.

Confidentiality obligations do not generally apply to information that the receiving party can demonstrate is publicly available without a breach, was lawfully known beforehand, was independently developed without using the confidential information, or was lawfully received from another source without a confidentiality restriction.

Disclosure may be made where legally required, subject to applicable law.

Where a project requires stronger or more specific confidentiality obligations, the parties should execute a separate non-disclosure agreement (NDA) or confidentiality agreement.

8. Software, Third-Party Tools, and Resources

Some services may involve third-party optical design software, simulation tools, libraries, platforms, or other external resources.

  • Clients and mentees are responsible for obtaining and maintaining valid licences for software they use, unless otherwise agreed.
  • All users must comply with the applicable terms and licensing restrictions of third-party products.
  • Devion Optics does not claim ownership of third-party software or materials.
  • References to third-party tools or resources do not constitute an endorsement or guarantee of their performance.

Any files or models provided by Devion Optics must be used in accordance with the applicable licence, project agreement, and intellectual property provisions.

9. Limitation of Liability

Devion Optics will exercise reasonable professional care in providing its agreed services.

However, optical engineering involves technical assumptions, simulation limitations, manufacturing tolerances, environmental conditions, and other factors that may affect final performance.

To the extent permitted by applicable law:

  • Devion Optics is not responsible for results arising from inaccurate or incomplete information supplied by a client or mentee.
  • Devion Optics is not responsible for modifications made to deliverables by others without its approval.
  • Devion Optics is not liable for indirect, incidental, or consequential losses arising from the use of its website, mentorship, consultancy, or deliverables.
  • Clients remain responsible for verifying designs and ensuring suitability for their intended application before manufacturing, deployment, or commercial use.

Any agreed limitation of liability, including a monetary cap, should be specified in the relevant project agreement.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Privacy and Data Protection

Information provided through website enquiries, project communications, registration forms, or mentorship arrangements will be handled in accordance with applicable privacy and data protection laws and the privacy practices communicated by Devion Optics.

Personal information may be used to respond to enquiries, manage client relationships, provide services, process payments, and communicate relevant updates.

Reasonable measures will be taken to protect personal information. Information may be shared with service providers where necessary to deliver services or where disclosure is legally required.

Users should avoid submitting sensitive personal information or confidential third-party information unless it is necessary for the engagement and appropriate safeguards have been agreed.

11. Suspension or Termination of Services

Either party may terminate a project or mentorship engagement in accordance with the applicable written agreement.

Devion Optics may suspend or terminate services where there is a material breach of agreed terms, non-payment, unauthorized distribution of proprietary materials, misuse of services, or another lawful reason.

Where applicable, the parties will address outstanding payments, completed work, deliverables, confidential information, and any refund obligations according to their agreement and applicable law.

Termination does not automatically cancel obligations relating to confidentiality, intellectual property, outstanding payments, or other provisions intended to continue after termination.

12. Changes to These Terms

Devion Optics may revise these Terms and Conditions from time to time. Updated terms will be published on the website with a revised effective date.

Changes to website terms will generally apply prospectively. Existing project or mentorship engagements will continue to be governed by their signed agreements or other applicable agreed terms, unless the parties agree otherwise or applicable law requires a different result.

13. Governing Law and Dispute Resolution

These Terms and Conditions are intended to be governed by the applicable laws of India, subject to mandatory legal protections that may apply.

In the event of a dispute, the parties will attempt to resolve the matter through good-faith discussions where practicable.

Any applicable dispute-resolution procedure and the jurisdiction of competent courts will be determined in accordance with applicable law and any valid written agreement between the parties.
